These Terms of Service ("Terms") govern your use of the MARIGOLD.RENT website located at www.marigold.ren (the "Site"), including any content, functionality, and services offered through the Site, as well as any other products or services provided by MARIGOLD GROUP LLC (Referred as “MARIGOLD”) and ("we," "our," or "us"), whether or not you register as a user.

By accessing or using any of our Services, including creating an Account, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms or the Privacy Policy, please refrain from accessing or using our Services. Our online store is hosted by Shopify Inc., who provides the e-commerce platform for us to sell our products and services to you. The Services are intended for users who are 18 years of age or older. By using the Services, you represent and warrant that you are 18 years of age or older and capable of entering a legally binding contract with MARIGOLD. If you do not meet these requirements, please do not access, or use the Services. You acknowledge and confirm that you have read, understood, and accept all the terms, conditions, policies, provisions, disclosures, and disclaimers contained in these Terms. These Terms have the same force and effect as a signed agreement, and you expressly accept and agree to be bound by them.

It is important to note that MARIGOLD assumes no responsibility or liability for the actions, omissions, products, or services of any User of the Platform. We are not responsible or liable for any acts or omissions, including the provision or non-provision of Items, by any Consignor or Renter.

Please be aware that this Agreement is subject to change at any time at our sole discretion. MARIGOLD reserves the right to modify this Agreement, or its policies related to the Platform, effective upon posting an updated version of this Agreement or any applicable Supplemental Terms on the Platform. It is recommended that you regularly review this Agreement, as your continued use of the Platform after any changes signifies your acceptance of those changes.

You agree that any disputes between you and us will be resolved through binding individual arbitration. By accepting these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration, as well as your right to a trial by jury.

The Services are operated and controlled from the United States and are not intended to subject MARIGOLD to the jurisdiction or laws of any non-U.S. territory. Any use of the Site is at your own risk, and you must comply with all applicable laws, rules, and regulations. We reserve the right to limit or restrict the availability of the Services, in whole or in part, to any person, geographic area, or jurisdiction of our choosing.

Defined Terms:

• "Items" refer to clothing and accessories available on the Platform.
• "Renter" refers to a user who rents Items from MARIGOLD.RENT.
• "Consignor" refers to individual/business who consigns products to MARIGOLD for purpose of renting or selling.
• "Platform" refers to the rental functionality of the MARIGOLD.RENT Site utilized by Marigold for Renting.

Overview of the Services: MARIGOLD offers clothing, related products, and occasional item rentals or sales. The Services include features such as creating an account, purchasing, or renting products. To access the Platform's features, including consigning your personal clothing for rent, you must become a Registered User. A "Registered User" is a Renter who has registered an account ("Account") on the Platform. As a consignor participating in the rental services, you must have ownership or permission to rent all Items you consign on the Platform.

Changes to these Terms: We may modify these Terms at our sole discretion. Notice of changes will be posted on this page. Changes will not be retroactively applied and will take effect when either: (i) you use the Services after becoming aware of the change, or (ii) thirty days after the changes are posted (whichever is sooner). However, changes related to new functions or legal requirements will be effective immediately. The Last Modified Date at the top of these Terms will be updated accordingly. Your continued use of the Services after the Last Modified Date indicates your consent to the modified Terms. It is your responsibility to frequently check this page for any changes, as they are binding upon you. If the modified Terms are not acceptable to you, please refrain from accessing or using the Services after the Last Modified Date. Please note that prices for our products are subject to change without notice. We will not be liable to you or any third party for any modifications, price changes, suspensions, or discontinuations of the Service.

To access or use the Services provided by MARIGOLD.RENT, you must be 18 years of age or older. To use the Services, you may need to create an account (referred to as your "Account"), choose a username and password, and provide certain information such as your contact details. It is important that you provide accurate, complete, and up-to-date information, and you are responsible for maintaining and updating this information. You are not allowed to select a MARIGOLD.RENT User ID that you do not have the right to use or use someone else's name with the intention of impersonating them. We may reject or request that you change any MARIGOLD.RENT User ID, password, or other information provided during the registration process. Transferring your Account to another person is not permitted without our prior written permission.

You may only use the Services and Products made available to you for your personal, non-commercial use and in compliance with applicable laws. If your use of the Services or Products is prohibited by these Terms, any Additional Terms, or applicable laws, you are not authorized to use them. You are solely responsible for any unauthorized use of the Services or Products in violation of these Terms, any Additional Terms, or applicable law. Sharing your Account (including your MARIGOLD.RENT User ID or password) with others is strictly prohibited, and it is your responsibility to ensure the security of your Account and any associated access tools or credentials. You are solely responsible for all activities carried out using your Account, including any charges incurred.

This includes the refusal to fulfill any orders placed by you or placing restrictions on orders made under a single customer Account, payment card, or billing/shipping address. This may be due to factors such as availability, geographic considerations, suspected fraudulent or commercial use, or any other violations of these Terms or any Additional Terms.

PRODUCTS & SERVICES

All Products and Services are exclusively available online through the website. These products or services may have limited quantities and are subject to the return or exchange policies outlined herein.

We have made every effort to display the colors and images of our products as accurately as possible, including those displayed at physical retail stores. However, please note that colors and details may slightly vary. We cannot guarantee that the colors displayed on your computer monitor will be completely accurate.

We reserve the right to limit or restrict your access to or use of the Services, including refusing to fulfill any orders placed by you or restricting orders under a single customer Account, payment card, or billing/shipping address. We also reserve the right to limit, cancel, or prohibit any use of the Services at our sole discretion. This may be due to factors such as availability, geographic considerations, suspected fraudulent or commercial use, or any other violations of these Terms or any Additional Terms.

HOW THE RENTAL WORKS

The Platform serves as a medium for facilitating rental and selling transactions between Renters/Buyers and Marigold (referred to as the "Rental & Buying Services"). Each Item will be available for a specific duration as specified in the Listing. For more detailed information about the Rental Services, please refer to our website. MARIGOLD’s responsibility to Users is limited to providing the Platform.

THE PLATFORM FACILITATES CONNECTIONS BETWEEN RENTERS/BUYERS AND MARIGOLD. YOU ACKNOWLEDGE AND AGREE THAT MARIGOLD NO RESPONSIBILITY OR LIABILITY TO YOU RELATED TO ANY RENTAL EXPERIENCE, EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT.

Consignors are not considered employees, partners, representatives, agents, joint venturers, or franchisees of MARIGOLD. MARIGOLD does not employ or retain Consignors. Renters hereby acknowledge that Marigold monitors and facilitates certain aspects of interactions facilitated through the Platform.

PRODUCT/SERVICE DESCRIPTIONS

In our sole discretion, we may provide listings, descriptions, and images of Products available on the Services, as well as references and links to Products. However, we do not warrant that the Product listings, descriptions, or images are entirely accurate, complete, reliable, current, or free from errors, nor do we guarantee the availability of any Products, even if indicated as such on our Services. The provided information and availability of Products are subject to change without prior notice. Any weights, measures, or similar descriptions are approximate and provided for convenience purposes only. While we strive to display the attributes of Products accurately, including colors, the actual colors you see may depend on your computer system, and we cannot guarantee precise color representation on your computer (including smartphones or similar devices). The prices displayed for Products and Services are quoted in U.S. dollars unless otherwise specified. If a Product is no longer available, we will contact you for further instructions before shipping or cancel your order and notify you accordingly. The availability of any listing, description, or image of a Product through the Services does not imply our endorsement of such Product or affiliation with the provider of that Product.

SERVICE COST

We reserve the right to modify or waive fees associated with certain parts of the Service. You are solely responsible for: (i) the fee for any Service you order that is not canceled in accordance with our cancellation policy, (ii) the price of any Products not returned in accordance with our policies, (iii) any late fees incurred due to late returns ($40 per day), damaged items, or lost items, and (iv) the non-refundable Deposit if the outfit is not returned or is delayed beyond two days.

For more information about our Services, including pricing, fees, and cancellation policies, please refer to our FAQ Section. Please note that any payment terms presented to you during the use or signup process for the Service are considered part of these Terms.

DELIVERY

All deliveries will be made through MARIGOLD shipping partners, which may be changed at MARIGOLD’s discretion. The specific shipping method used will be determined by MARIGOLD. It is your responsibility to provide accurate shipping information to ensure timely delivery of the Products. You are responsible for keeping the shipping information associated with your Account up to date. If you provide an invalid shipping address or fail to securely accept the Products upon delivery, or if you do not maintain updated shipping information, you will be solely responsible for any loss, theft, or damage to the Products. Once the Products are delivered to the designated address, you assume sole responsibility for their condition until they are returned to us (including during transit). We reserve the right to reject, cancel, or prohibit any rentals or sales of Products for any reason.

RETURN PACKAGING

Upon delivery of the Product, MARIGOLD will provide you with pre-paid return labels, reusable mailers, and boxes (as applicable) along with instructions for returning the Products to MARIGOLD ("Return Packaging"). It is your sole responsibility to ensure the return package is dropped off at the appropriate carrier specified on the return label, preferably by 12:00 PM on the return date, and to provide a receipt if necessary.

RESERVE

If you rent a Product through our Platform, the Rental Fee will include rental coverage charges and ground delivery charges, if applicable, as listed for the respective Product. MARIGOLD reserves the right to modify the Rental Fee or availability of any item at its discretion and without prior notice. Additionally, a refundable deposit charge will be added for each product in your cart. This deposit payment will be refunded to you upon the timely return of the product(s) in acceptable condition. Please refer to the Deposit Section for further details.

DEPOSIT

You are required to pay the deposit fee during checkout. The deposit will be charged along with your rental fee. Once the product(s) are returned in acceptable condition within the specified rental duration, the deposit will be refunded to you. However, if the outfit is heavily damaged, irreplaceable, not returned, or delayed beyond two days, the deposit will not be refunded.

The deposit will not be refunded in the following cases:

• Late return: A late fee of $40 will be charged for each day the rental is overdue. This fee will be deducted from the deposit. If the late fee exceeds the deposit amount, you will be charged the remaining balance.
• Damages beyond normal wear and tear: This includes damages such as red wine stains, irremovable food stains, breakage, or tearing that render the garment irreparable.
• Lost or stolen item: In these instances, your deposit will not be refunded. Additionally, you will be invoiced for the retail value of the product (minus the deposit).

RENTAL

The rental of any clothing, accessories, and other products ("Product") is subject to the following additional conditions:

RENTAL FEE

The Rental Fee for a Product will consist of the posted rental fee and any applicable delivery charges listed on the Site. By placing a rental order for a Product, you authorize MARIGOLD to charge your payment card for the Rental Fee and delivery charges, if any. MARIGOLD will immediately charge your payment card for these fees and costs upon your rental order. Please note that reserving a Product on the Site constitutes an order for its rental, regardless of the reservation timeframe.

Upon rental order placement for a Product, you also authorize MARIGOLD to charge your payment card for an amount equal to 100% of the original retail value of the Product plus applicable sales taxes ("Retail Value"). However, MARIGOLD will only charge your payment card an amount greater than the Rental Fee as described below. Rental Fees do not include federal, state, and local taxes, GST, fees, customs, duties, levies, or other governmental assessments. You are responsible for directly paying these charges or reimbursing MARIGOLD for any taxes paid by them in connection with your rental order.

You may cancel your rental order, subject to the following cancellation fees and policies:

• Cancellation 30 or more days in advance of the delivery date: No cancellation fee; full refund issued to the payment card used for the order. Deposit will be fully refunded
• Cancellation less than 30 days but more than 14 days in advance of the delivery date: Please contact customer service at hello@marigold.rent. No refund issued, but you will receive a full credit for the rental fee associated with the canceled order in the form of a unique gift card. This credit can be redeemed for a future MARIGOLD.RENT rental within one year from the date of cancellation. Deposit will be fully refunded to the original payment method.
• Cancellation within 14 days of the delivery date: No refund or credit will be provided. Deposit will be fully refunded to the original payment method.

Upon delivery, you assume responsibility for the Product(s). It is recommended to provide a secure shipping address. MARIGOLD will not be liable for Products left unattended if an unsecured shipping address is provided. Additionally, providing an unsecure shipping address may result in delivery delays and additional fees for which MARIGOLD will not be responsible. You will be liable for any such delays and additional delivery fees.

USE OF THE PRODUCTS

You agree to handle the Products with care to ensure they remain in good condition for the next renter. You are responsible for any loss, destruction, or damage to the Products, except for normal wear and tear. Normal wear and tear include minor stains, rips, missing beads, stuck zippers, or other minor damages covered by the rental fee. However, if you return a Product that is damaged beyond normal wear and tear (such as red wine stains, irremovable food stains, etc.), we reserve the right to charge you for the cost of repairing or replacing the Product, up to the full Retail Value, as determined at our discretion.

Consignment Commission

As a Consignor, you may be eligible to receive a commission for the Items you consign to MARIGOLD. To qualify for payment, you must fulfill the following conditions: (i) You must be an approved consignor on the Platform, and (ii) The Items you consign for the Platform must be rented by Renters through the Platform. Please refer to the Commission Schedule for detailed information regarding the fees payable to Consignor, referred to as the "Consignor Fee". Consignor is solely responsible for filing all tax returns and making necessary payments to any federal, state, local, or foreign tax authority arising from the payment of the Consignor Fee under this Agreement, if applicable. Consignor agrees to fulfill these responsibilities in a timely manner.

Payment Acceptance

As a Consignor, you are required to provide a valid method for accepting payments, known as the "Payment Acceptance Method." This can include accounts such as Venmo, PayPal, Zelle, or any other agreed-upon payment method. It is essential to keep your Payment Acceptance Method up to date. If there are any changes to this information, promptly notify us to avoid payment issues. If you do not wish us to update your information, you may contact your issuer and request to do so or remove your Payment Acceptance Method from your Account.

If you are a Consignor, the following terms in this section apply to you:

LISTINGS

MARIGOLD holds the sole and absolute discretion to approve or reject Items to be included in Consignor Listings. Prior to posting a Listing, you may be required to answer various questions about the listed Items, including but not limited to their location, size, brand, retail availability, and description. Listings will be publicly accessible through the Platform, allowing Renters to rent your listed Items based on the provided information. Consignor represents and warrants that any Listing and subsequent rental of Items through the Platform will not violate any agreements Consignor has entered with third parties.

The "Required Listing Period" for each Item begins on the date MARIGOLD lists the Item on the Platform and ends 180 days thereafter, even if this Agreement is terminated during that period by either party. After the Required Listing Period, and subject to this provision, Consignor may submit a written request to MARIGOLD for the return of the Item. Upon receiving your request, MARIGOLD will make commercially reasonable efforts to remove the Item from the MARIGOLD.RENT Platform and return it to you within thirty (30) days after the scheduled rental period for that Item. MARIGOLD will cover the cost of return ground shipping after ensuring that we possess your most up-to-date contact information. If Consignor does not notify MARIGOLD of their desire to have the Item(s) returned after the Required Listing Period, MARIGOLD.RENT will continue to feature the Items on the Platform until such a request is received.

RETURN OF ITEMS BY MARIGOLD TO CONSIGNOR

If an Item remains unrented after the Required Listing Period or if MARIGOLD determines that an Item is unlikely to generate sufficient interest from Renters on the Platform, or if MARIGOLD decides to withdraw the Item from a Listing for any other reason at its sole and absolute discretion, MARIGOLD will provide a "Withdrawal Notice" to the Consignor. Upon receiving this Withdrawal Notice, the Consignor may, at MARIGOLD’s expense: (i) Option to retrieve the Item, or (ii) Donate the Item to a charity chosen by MARIGOLD

EXCLUSIVE LISTING

Pursuant to this Agreement, once an Item is made available on the Platform by Marigold, the Consignor grants MARIGOLD an exclusive right to display and rent the Item on its Platform, in accordance with the terms of this Agreement. This means that the Consignor shall not, directly, or indirectly, allow or facilitate the use, sale, or availability of the Item through any other means or platform. It is important to note that the Consignor retains ownership of each Item.

ADDITIONAL TERMS

MARIGOLD has the right, but not the obligation, to list an Item presented by the Consignor on the Platform. To learn more about our Item approval process, please refer to our guidelines. You acknowledge and agree that:

• MARIGOLD, at its sole discretion, will determine the rental and replacement price for each Item.
• MARIGOLD, at its sole discretion, will decide which Items to list on the Platform.
• MARIGOLD may offer additional discounts and promotions during the Required Listing Period or at any other time when the Item remains available for rent on the Platform. Such initiatives are at the sole discretion of MARIGOLD and may impact your earnings without prior notice.
• The placement and ranking of Listings in search results on the MARIGOLD.RENT Platform may vary and depend on various factors, including Renter search parameters, preferences, price, and availability.

DAMAGE

Consignors acknowledge that normal wear and tear are inherent to the rental experience. In the event of damage, MARIGOLD has the right, but not the obligation, to repair, replace, or compensate the Consignor for the market value of the damaged, lost, or stolen Item.

REPAIR PROCESS

MARIGOLD, at its sole discretion, will select and compensate a qualified repair vendor to address damages that exceed normal wear and tear.

COMPENSATION FOR REPLACEMENT VALUE TO CONSIGNOR

If an Item is lost, heavily damaged, or irreplaceable, MARIGOLD will compensate the Consignor for the replacement value of the Item, considering a depreciation rate of 5% after each rental.

MARIGOLD will not cover damages in the following circumstances: (a) Normal wear and tear, as it is expected that Items will experience such wear and tear during their rental on the Platform. (b) Incidents occurring after the Listing period. (c) Damage reports submitted by the Consignor more than seven (7) days after receiving the applicable Item upon its return.

PROHIBITED ITEMS

The Consignor represents and warrants that no stolen, fake, or counterfeit Items will be provided for the platform. An item is deemed "fake" if it displays marks of a designer who did not design it and/or a manufacturer who did not produce it. An item is considered "counterfeit" if it is fake with the intention to deceive. If MARIGOLD receives notice or determines in its sole discretion that any listed Items provided on the Platform may be fake, counterfeit, or stolen, MARIGOLD reserves the right to immediately remove such Item(s) from the Platform and/or report the associated Consignor to law enforcement personnel.

EMPLOYMENT STATUS

This Agreement and your performance under it shall not create an association, partnership, joint venture, principal-agent relationship, master-servant relationship, or employer-employee relationship between MARIGOLD and you or between MARIGOLD and your employees and agents. You and MARIGOLD agree that you and your employees and agents (if applicable) will not receive any MARIGOLD-sponsored benefits, including but not limited to paid vacation, sick leave, medical insurance, and 401k participation. If you, your employees, or agents (if applicable) are reclassified by a state or federal agency or court as employees of MARIGOLD, you and your employees or agents, as applicable, will become reclassified employees and will receive only benefits mandated by state or federal law, regardless of the terms of MARIGOLD’s benefit plans or programs. You acknowledge your sole responsibility for complying with all federal, state, and local tax filing and payment obligations related to any remuneration received in connection with the Rental Services as processed by MARIGOLD. under this Agreement, including tax withholding, Social Security, Worker's Compensation Insurance, FICA, unemployment compensation, medical insurance, life insurance, paid vacations, paid holidays, pensions, and other obligations or benefits. You acknowledge that MARIGOLD does not provide legal, tax, or investment advice, nor does it act as a fiduciary to you. Therefore, you acknowledge the importance of seeking advice from a qualified professional to ensure compliance with all applicable federal, state, and local laws and ordinances.

SHIPMENT OF PRODUCTS

We guarantee that the products you have ordered will be prepared and shipped by us via a delivery method that ensures arrival by the intended rental date. However, any delays caused by the carrier are beyond our control, and we cannot be held liable for such delays.

You are required to return all components of the rented outfit, which may include but are not limited to skirts, pants, blouse linings, dupattas (scarves), belts, and so on, to MARIGOLD. Please ensure that you use the provided Return Packaging and return the products by the designated return date stated in your order. We recommend delivering the product through the requested courier located in the United States before 12 PM on or before the due date. It is essential to obtain a receipt as proof of drop-off. While we may allow extensions upon prepayment of additional fees, it is important to note that we are not responsible for any personal or other items left in the products or included in the Return Packaging. If you accidentally or intentionally send us any such items, please contact our customer service, and we will assist you in locating them, although we are not obligated to do so and assume no liability in this regard.

LATE RETURN FEES

In the event of late or non-return, a late fee of forty dollars ($40.00) will be charged to the payment card used for the Rental Fee or any other payment card associated with your MARIGOLD account for each day the products are overdue. You agree to pay these late fees, with a maximum limit of 100% of the Retail Value (plus the Rental Fee). The late fee is applicable per order of products not returned on time and not per individual product within the order. If you fail to return a product within seven (7) days after the specified return date, it will be considered a non-return. MARIGOLD will charge your payment card the full Retail Value of the item(s), minus any already paid late fees, along with applicable sales tax.

RENTAL VALUE PAYMENT

MARIGOLD will not charge you more than an amount equal to 100% of the Retail Value plus the Rental Fee, except for collection costs. If you pay MARIGOLD an amount equal to 100% of the Retail Value plus the Rental Fee and still possess the product, it will become your property on an "AS IS" basis without any warranty. Please note that this clause does not apply to the Rental Fee, which is charged separately and in addition to any other late fees or penalties that may be applicable.

LOST RETURN PACKAGING

If you misplace the Return Packaging, it is your responsibility to arrange and cover the cost of returning the item in a box of your own purchase. The return should be completed by the expected return date, and you must provide the necessary details to MARIGOLD.

LIMITED WARRANTIES

MARIGOLD offers the following limited warranties in relation to product rentals. Our liability for any failure to fulfill these warranties is limited to either delivering the product conforming to the warranties in a timely manner or providing a refund of the Rental Fee (excluding insurance and delivery charges) as determined by MARIGOLD:

CORRECT PRODUCTS

Subject to availability, we will deliver the products you ordered, including the specified size, color, and design, on or before the scheduled delivery date. However, in rare cases where the product is irreparably damaged or if an unforeseen circumstance prevents timely delivery, we will make reasonable efforts to notify you of the unavailability. If we can reach you, you will be given the option to choose an available rental product to replace the unavailable one within the original rental order price. Please note that the appearance of products may differ slightly in terms of color and style compared to what is displayed on the website.

CLEAN AND READY TO WEAR

The products will undergo professional cleaning and will be delivered in a ready-to-wear condition. While MARIGOLD takes utmost care in dry cleaning and inspecting each product, the use of the product is at your own risk. MARIGOLD cannot be held liable for any health-related concerns arising from the use of the product.

MARIGOLD RENTER CONTENT

MARIGOLD reserves the right, at its sole discretion, to have professional photographs taken of the consignor's items. These photographs, known as "Verified Images," may be used in conjunction with the consignor's product listings. It is the consignor's responsibility to ensure that the items accurately represent the Verified Images. If the Verified Images no longer accurately represent the items, the consignor must notify MARIGOLD. The consignor acknowledges and agrees that MARIGOLD has the right to use the Verified Images for advertising, marketing, and other business purposes in any media or platform, without further notice or compensation. MARIGOLD grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to use the Verified Images solely for the purpose of creating listings on the platform. The consignor agrees that they have no right or title to any content, including Verified Images, that appear on the platform, except for their own content.

If you receive a garment in the wrong size or if the outfit you receive is different from what you ordered, please contact Marigold within 24 hours of delivery. MARIGOLD will provide expedited shipping for the correct size or offer replacement options. Alternatively, MARIGOLD may credit your account. To be eligible for the credit, the item must be returned strictly unworn (as determined by MARIGOLD) and shipped back within 24 hours.

Please note that if you did not provide accurate measurements, Marigold cannot guarantee the fit of the garment. In such circumstances, MARIGOLD will not provide any credit or refund.

Payment Process

By placing a rental order for a product, you authorize MARIGOLD to charge your payment card or other designated payment method ("Payment Method") for the Rental Fee. It is your responsibility to ensure that your Payment Method is valid and up to date. You must provide complete and accurate billing and contact information to MARIGOLD and inform them of any changes to such information. Upon placing your rental order, MARIGOLD will charge your Payment Method for the Rental Fee amount immediately. Please note that reserving a product through the Services constitutes an order for the rental of that product, regardless of the rental date.

However, MARIGOLD will only charge your Payment Method an amount greater than the Rental Fee as described above and in the Cost of Services section. Rental Fees do not include federal, state, and local taxes, goods and service tax, fees, customs, duties, levies, and other governmental assessments. You are responsible for paying these directly or, if paid by MARIGOLD, paying them to MARIGOLD in connection with your rental order.

All products, including availability and price, are subject to change without notice.
