These Terms of Service ("Terms") govern your use of the MARIGOLD.RENT website located at www.marigold.rent (the "Site"), including any content, functionality, and services offered through the Site, as well as any other products or services provided by MARIGOLD GROUP LLC ("MARIGOLD", "we," "our," or "us"), whether or not you register as a user.

By accessing or using any of our Services, including creating an Account, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms or the Privacy Policy, please refrain from accessing or using our Services. Our online store is hosted by Shopify Inc., which provides the e-commerce platform for us to sell our products and services to you.

The Services are intended for users who are 18 years of age or older. By using the Services, you represent and warrant that you are 18 years of age or older and capable of entering into a legally binding contract with MARIGOLD. If you do not meet these requirements, please do not access or use the Services.

You acknowledge and confirm that you have read, understood, and accepted all terms, conditions, policies, disclosures, and disclaimers contained in these Terms. These Terms carry the same force and effect as a signed agreement.

It is important to note that MARIGOLD assumes no responsibility or liability for the actions, omissions, products, or services of any user of the Platform. We are not responsible for any acts or omissions, including the provision or non-provision of Items, by any Consignor or Renter.

Please be aware that this Agreement may be updated at any time at our sole discretion. MARIGOLD reserves the right to modify this Agreement or its policies related to the Platform by posting an updated version on the Site. Your continued use of the Platform after such changes signifies your acceptance of the updated Terms.

You agree that any disputes between you and MARIGOLD will be resolved through binding individual arbitration. By accepting these Terms, you waive your right to participate in any class action lawsuit, class-wide arbitration, or jury trial.

The Services are operated and controlled from the United States and are not intended to subject MARIGOLD to the laws or jurisdiction of any non-U.S. territory. Use of the Site is at your own risk, and you are responsible for complying with all applicable laws and regulations. We reserve the right to restrict access to the Services to any person, geographic region, or jurisdiction at our discretion.

Defined Terms

• "Items" refer to clothing and accessories available on the Platform.
• "Renter" refers to a user who rents Items from MARIGOLD.RENT.
• "Consignor" refers to an individual or business that consigns products to MARIGOLD for rental or sale purposes.
• "Platform" refers to the rental functionality of the MARIGOLD.RENT Site used for renting services.

Overview of the Services

MARIGOLD offers clothing, related products, and occasional item rentals or sales. The Services may include features such as account creation, product purchases, rentals, and consignments. To access certain Platform features, including consigning personal clothing for rent, users must register for an account.

A "Registered User" is a Renter who has created an account ("Account") on the Platform. As a Consignor participating in rental services, you represent and warrant that you own or have permission to rent all Items consigned through the Platform.

Changes to These Terms

We may revise these Terms from time to time at our sole discretion. Updates will be posted on this page and will become effective when either:

• You continue using the Services after becoming aware of the changes, or
• Thirty (30) days after the updated Terms are posted, whichever occurs first.

However, updates related to new features or legal requirements may become effective immediately. The "Last Modified" date at the top of the Terms will reflect the latest revision date.

Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Services.

Please note that product prices are subject to change without notice. MARIGOLD shall not be liable for any modifications, price changes, suspensions, or discontinuation of the Services.

MARIGOLD.RENT'’S Services

To access or use the Services provided by MARIGOLD.RENT, you must be 18 years of age or older. To use the Services, you may need to create an account (referred to as your "Account"), choose a username and password, and provide certain information such as your contact details.

It is important that you provide accurate, complete, and up-to-date information, and you are responsible for maintaining and updating this information. You are not allowed to select a MARIGOLD.RENT User ID that you do not have the right to use or use someone else's name with the intention of impersonating them.

We may reject or request that you change any MARIGOLD.RENT User ID, password, or other information provided during the registration process. Transferring your Account to another person is not permitted without our prior written permission.

You may only use the Services and Products made available to you for your personal, non-commercial use and in compliance with applicable laws. If your use of the Services or Products is prohibited by these Terms, any Additional Terms, or applicable laws, you are not authorized to use them.

You are solely responsible for any unauthorized use of the Services or Products in violation of these Terms, any Additional Terms, or applicable law.

Sharing your Account, including your MARIGOLD.RENT User ID or password, with others is strictly prohibited. It is your responsibility to ensure the security of your Account and any associated access tools or credentials. You are solely responsible for all activities carried out using your Account, including any charges incurred.

We reserve the right to limit or restrict your access to the Services or your use of them for any reason. This includes the refusal to fulfill any orders placed by you or placing restrictions on orders made under a single customer Account, payment card, or billing/shipping address.

We also reserve the right to limit, cancel, or prohibit any use of the Services at our sole discretion. This may be due to factors such as availability, geographic considerations, suspected fraudulent or commercial use, or any other violations of these Terms or any Additional Terms.

Products & Services

All Products and Services are exclusively available online through the website. These products or services may have limited quantities and are subject to the return or exchange policies outlined herein.

We have made every effort to display the colors and images of our products as accurately as possible, including those displayed at physical retail stores. However, colors and details may slightly vary. We cannot guarantee that the colors displayed on your computer monitor will be completely accurate.

We reserve the right to limit or restrict your access to or use of the Services, including refusing to fulfill any orders placed by you or restricting orders under a single customer Account, payment card, or billing/shipping address.

We also reserve the right to limit, cancel, or prohibit any use of the Services at our sole discretion. This may be due to factors such as availability, geographic considerations, suspected fraudulent or commercial use, or any other violations of these Terms or any Additional Terms.

How the Rental Works

The Platform serves as a medium for facilitating rental and selling transactions between Renters/Buyers and Marigold, referred to as the "Rental & Buying Services". Each Item will be available for a specific duration as specified in the Listing. For more detailed information about the Rental Services, please refer to our website. MARIGOLD’s responsibility to Users is limited to providing the Platform.

The Platform facilitates connections between Renters/Buyers and MARIGOLD. You acknowledge and agree that MARIGOLD has no responsibility or liability to you related to any rental experience, except as expressly set forth in this Agreement.

Consignors are not considered employees, partners, representatives, agents, joint venturers, or franchisees of MARIGOLD. MARIGOLD does not employ or retain Consignors. Renters acknowledge that Marigold monitors and facilitates certain aspects of interactions through the Platform.

Product/Service Descriptions

In our sole discretion, we may provide listings, descriptions, and images of Products available on the Services, as well as references and links to Products. However, we do not warrant that the Product listings, descriptions, or images are entirely accurate, complete, reliable, current, or free from errors.

We also do not guarantee the availability of any Products, even if indicated as available on our Services. The provided information and availability of Products are subject to change without prior notice.

Any weights, measures, or similar descriptions are approximate and provided for convenience purposes only. While we strive to display the attributes of Products accurately, including colors, the actual colors you see may depend on your computer system, and we cannot guarantee precise color representation on your computer, smartphone, or similar device.

The prices displayed for Products and Services are quoted in U.S. dollars unless otherwise specified. If a Product is no longer available, we will contact you for further instructions before shipping or cancel your order and notify you accordingly.

The availability of any listing, description, or image of a Product through the Services does not imply our endorsement of such Product or affiliation with the provider of that Product.

Service Cost

We reserve the right to modify or waive fees associated with certain parts of the Service.

You are solely responsible for: the fee for any Service you order that is not canceled in accordance with our cancellation policy, the price of any Products not returned in accordance with our policies, any late fees incurred due to late returns, damaged items, or lost items, and the non-refundable Deposit if the outfit is not returned or is delayed beyond two days.

Late return fees are $40 per day.

For more information about our Services, including pricing, fees, and cancellation policies, please refer to our FAQ Section. Any payment terms presented to you during the use or signup process for the Service are considered part of these Terms.

Delivery

All deliveries will be made through MARIGOLD shipping partners, which may be changed at MARIGOLD’s discretion. The specific shipping method used will be determined by MARIGOLD.

It is your responsibility to provide accurate shipping information to ensure timely delivery of the Products. You are responsible for keeping the shipping information associated with your Account up to date.

If you provide an invalid shipping address, fail to securely accept the Products upon delivery, or do not maintain updated shipping information, you will be solely responsible for any loss, theft, or damage to the Products.

Once the Products are delivered to the designated address, you assume sole responsibility for their condition until they are returned to us, including during transit. We reserve the right to reject, cancel, or prohibit any rentals or sales of Products for any reason.

What Happens If My Package Says “Delivered” But I Can’t Find It?

Once a package has been marked as delivered by the shipping carrier, Marigold’s responsibility for that shipment ends. From that point forward, it is the renter’s responsibility to ensure the package’s safe retrieval and storage.

Marigold is not liable for lost, stolen, or misplaced packages after the carrier has confirmed delivery to the address provided. We recommend checking with neighbors, your building's front desk, or your local post office if you can’t locate it right away.

Marigold cannot replace or refund items that go missing after delivery.

Return Packaging

Upon delivery of the Product, MARIGOLD will provide you with pre-paid return labels, reusable mailers, and boxes, as applicable, along with instructions for returning the Products to MARIGOLD ("Return Packaging").

It is your sole responsibility to ensure the return package is dropped off at the appropriate carrier specified on the return label, preferably by 12:00 PM on the return date, and to provide a receipt if necessary.

Reserve

If you rent a Product through our Platform, the Rental Fee will include rental coverage charges and ground delivery charges, if applicable, as listed for the respective Product.

MARIGOLD reserves the right to modify the Rental Fee or availability of any item at its discretion and without prior notice.

A refundable deposit charge will be added for each product in your cart. This deposit payment will be refunded to you upon the timely return of the product or products in acceptable condition. Please refer to the Deposit section for further details.

Deposit

You are required to pay the deposit fee during checkout. The deposit will be charged along with your rental fee.

Once the product or products are returned in acceptable condition within the specified rental duration, the deposit will be refunded to you. However, if the outfit is heavily damaged, irreplaceable, not returned, or delayed beyond two days, the deposit will not be refunded.

The deposit will not be refunded in the following cases:

• Late return: A late fee of $40 will be charged for each day the rental is overdue. This fee will be deducted from the deposit. If the late fee exceeds the deposit amount, you will be charged the remaining balance.
• Damages beyond normal wear and tear: This includes damages such as red wine stains, irremovable food stains, breakage, or tearing that render the garment irreparable.
• Lost or stolen item: In these instances, your deposit will not be refunded. Additionally, you will be invoiced for the retail value of the product, minus the deposit.

Rental

The rental of any clothing, accessories, and other products ("Product") is subject to the following additional conditions.

Rental Fee

The Rental Fee for a Product will consist of the posted rental fee and any applicable delivery charges listed on the Site. By placing a rental order for a Product, you authorize MARIGOLD to charge your payment card for the Rental Fee and delivery charges, if any.

MARIGOLD will immediately charge your payment card for these fees and costs upon your rental order. Reserving a Product on the Site constitutes an order for its rental, regardless of the reservation timeframe.

Upon rental order placement for a Product, you also authorize MARIGOLD to charge your payment card for an amount equal to 100% of the original retail value of the Product plus applicable sales taxes ("Retail Value"). However, MARIGOLD will only charge your payment card an amount greater than the Rental Fee as described below.

Rental Fees do not include federal, state, and local taxes, GST, fees, customs, duties, levies, or other governmental assessments. You are responsible for directly paying these charges or reimbursing MARIGOLD for any taxes paid by them in connection with your rental order.

Cancellation Policy

You may cancel your rental order subject to the following cancellation fees and policies:

If the cancellation is made 30 or more days before the delivery date, no cancellation fee will apply and a full refund will be issued to the original payment method. The deposit will also be fully refunded.

If the cancellation is made less than 30 days but more than 14 days before the delivery date, please contact customer service at info@marigold.rent. No monetary refund will be issued. However, you will receive a full rental credit in the form of a unique gift card that can be used for a future MARIGOLD.RENT rental within one year from the cancellation date. The deposit will be fully refunded to the original payment method.

If the cancellation is made within 14 days of the delivery date, no refund or rental credit will be provided. The deposit will be fully refunded to the original payment method.

Receipt of the Products

Upon delivery, you assume full responsibility for the Product or Products. We strongly recommend providing a secure shipping address for all deliveries.

MARIGOLD will not be liable for Products left unattended if an unsecured shipping address is provided. Providing an unsecured shipping address may also result in delivery delays or additional shipping fees, for which MARIGOLD will not be responsible.

You will be solely responsible for any delays, losses, or additional delivery charges resulting from inaccurate or unsecured delivery information.

Use of the Products

You agree to handle all Products with proper care to ensure they remain in good condition for future renters.

You are responsible for any loss, destruction, or damage to the Products, except for normal wear and tear.

Normal wear and tear may include minor stains, small rips, missing beads, stuck zippers, or other minor damages covered under the rental fee.

However, if a Product is returned with damage beyond normal wear and tear, including but not limited to red wine stains, irremovable food stains, excessive tearing, burns, or permanent damage, MARIGOLD reserves the right to charge you for the cost of repair or replacement.

These charges may include up to the full Retail Value of the Product, as determined solely at MARIGOLD’s discretion.

Consignment Commission

As a Consignor, you may be eligible to receive a commission for the Items you consign to MARIGOLD.

To qualify for payment, you must be an approved Consignor on the Platform, and the Items you consign must be rented by Renters through the Platform.

Please refer to the Commission Schedule for detailed information regarding the fees payable to the Consignor, referred to as the "Consignor Fee".

The Consignor is solely responsible for filing all tax returns and making any necessary payments to federal, state, local, or foreign tax authorities arising from the payment of the Consignor Fee under this Agreement, if applicable.

The Consignor agrees to fulfill these responsibilities in a timely manner.

Payment Acceptance

As a Consignor, you are required to provide a valid method for accepting payments, known as the "Payment Acceptance Method". This may include Venmo, PayPal, Zelle, or any other agreed-upon payment method.

It is important to keep your Payment Acceptance Method up to date. If there are any changes to this information, you must promptly notify us to avoid payment issues.

If you do not wish us to update your information, you may contact your issuer to update it directly or remove your Payment Acceptance Method from your Account.

Consignor Terms

If you are a Consignor, the following terms apply to you.

Listings

MARIGOLD holds the sole and absolute discretion to approve or reject Items submitted for Consignor Listings.

Before posting a Listing, you may be required to provide information regarding the Item, including its location, size, brand, retail availability, and description.

Listings will be publicly accessible through the Platform, allowing Renters to rent your listed Items based on the information provided.

The Consignor represents and warrants that any Listing and subsequent rental of Items through the Platform will not violate any agreements entered into with third parties.

The Required Listing Period for each Item begins on the date MARIGOLD lists the Item on the Platform and continues for 180 days, even if this Agreement is terminated during that period by either party.

After the Required Listing Period, the Consignor may submit a written request for the return of the Item.

Upon receiving the request, MARIGOLD will make commercially reasonable efforts to remove the Item from the Platform and return it within thirty (30) days after the scheduled rental period for that Item.

MARIGOLD will cover the cost of return ground shipping after confirming that we have your most up-to-date contact information.

If the Consignor does not request the return of the Item after the Required Listing Period, MARIGOLD.RENT may continue featuring the Item on the Platform until such request is received.

Return of Items by MARIGOLD to Consignor

If an Item remains unrented after the Required Listing Period, or if MARIGOLD determines that an Item is unlikely to generate sufficient interest from Renters, MARIGOLD may issue a Withdrawal Notice to the Consignor.

Upon receiving the Withdrawal Notice, the Consignor may choose to retrieve the Item at MARIGOLD’s expense or allow the Item to be donated to a charity selected by MARIGOLD.

Exclusive Listing

Once an Item is made available on the Platform, the Consignor grants MARIGOLD the exclusive right to display and rent the Item through the Platform in accordance with this Agreement.

This means the Consignor may not directly or indirectly allow, facilitate, or offer the Item through any other platform or method during the listing period.

The Consignor retains ownership of each Item at all times.

Additional Terms

MARIGOLD has the right, but not the obligation, to list an Item submitted by the Consignor on the Platform.

You acknowledge and agree that MARIGOLD, at its sole discretion, may determine the rental and replacement pricing for each Item.

MARIGOLD may also decide which Items are listed on the Platform and may offer promotions, discounts, or marketing campaigns that could impact earnings without prior notice.

The placement and ranking of Listings on the MARIGOLD.RENT Platform may vary depending on factors such as search preferences, pricing, renter behavior, and availability.

Damage

Consignors acknowledge that normal wear and tear are part of the rental experience.

In the event of damage, MARIGOLD has the right, but not the obligation, to repair, replace, or compensate the Consignor for the market value of the damaged, lost, or stolen Item.

Repair Process

MARIGOLD may, at its sole discretion, select and compensate a qualified repair vendor to address damages that exceed normal wear and tear.

Compensation for Replacement Value to Consignor

If an Item is lost, heavily damaged, or deemed irreplaceable, MARIGOLD will compensate the Consignor for the replacement value of the Item, taking into account a depreciation rate of 5% after each rental.

MARIGOLD will not cover damages resulting from normal wear and tear, incidents occurring after the Listing period, or damage reports submitted more than seven (7) days after the Item has been returned to the Consignor.

Prohibited Items

The Consignor represents and warrants that no stolen, fake, or counterfeit Items will be provided on the Platform.

An Item is considered fake if it displays branding or marks of a designer or manufacturer who did not create the Item. An Item is considered counterfeit if it is intentionally designed to deceive.

If MARIGOLD determines that any listed Item may be fake, counterfeit, or stolen, MARIGOLD reserves the right to immediately remove the Item from the Platform and report the associated Consignor to law enforcement authorities.

Employment Status

This Agreement does not create any association, partnership, joint venture, employer-employee relationship, or principal-agent relationship between MARIGOLD and the Consignor.

Consignors and their employees or agents are not entitled to any MARIGOLD-sponsored benefits, including paid vacation, sick leave, insurance coverage, retirement benefits, or similar programs.

If any Consignor or associated individual is reclassified by a court or agency as an employee of MARIGOLD, they will only receive benefits required by applicable law.

The Consignor is solely responsible for complying with all federal, state, and local tax obligations related to any compensation received through the Platform.

MARIGOLD does not provide legal, tax, or investment advice. Consignors are encouraged to seek guidance from qualified professionals regarding compliance with applicable laws and regulations.

Shipment of Products

We guarantee that ordered Products will be prepared and shipped using a delivery method intended to ensure arrival by the scheduled rental date.

However, delays caused by shipping carriers are beyond our control, and MARIGOLD cannot be held liable for carrier-related delivery delays.

Product Return Policy

You are required to return all components of the rented outfit to MARIGOLD. This may include, but is not limited to, skirts, pants, blouse linings, dupattas, scarves, belts, and any other included items.

Please use the provided Return Packaging and return the Products by the designated return date stated in your order.

We recommend dropping off the Product with the requested courier in the United States before 12:00 PM on or before the due date. It is important to obtain a receipt as proof of drop-off.

Extensions may be allowed upon prepayment of additional fees. However, MARIGOLD is not responsible for any personal or other items left in the Products or included in the Return Packaging.

If you accidentally or intentionally send us any such items, please contact customer service. We may assist you in locating them, but we are not obligated to do so and assume no liability in this regard.

Late Return Fees

In the event of late or non-return, a late fee of forty dollars ($40.00) will be charged to the payment card used for the Rental Fee or any other payment card associated with your MARIGOLD account for each day the Products are overdue.

You agree to pay these late fees, with a maximum limit of 100% of the Retail Value, plus the Rental Fee.

The late fee applies per order of Products not returned on time and not per individual Product within the order.

If you fail to return a Product within seven (7) days after the specified return date, it will be considered a non-return.

MARIGOLD will charge your payment card the full Retail Value of the Item or Items, minus any already paid late fees, along with applicable sales tax.

Rental Value Payment

MARIGOLD will not charge you more than an amount equal to 100% of the Retail Value plus the Rental Fee, except for collection costs.

If you pay MARIGOLD an amount equal to 100% of the Retail Value plus the Rental Fee and still possess the Product, it will become your property on an "as is" basis without any warranty.

This clause does not apply to the Rental Fee, which is charged separately and in addition to any other late fees or penalties that may apply.

Lost Return Packaging

If you misplace the Return Packaging, it is your responsibility to arrange and cover the cost of returning the Item in a box of your own purchase.

The return must be completed by the expected return date, and you must provide the necessary return details to MARIGOLD.

Limited Warranties

MARIGOLD offers the following limited warranties in relation to Product rentals.

Our liability for any failure to fulfill these warranties is limited to either delivering a Product that conforms to the warranties in a timely manner or providing a refund of the Rental Fee, excluding insurance and delivery charges, as determined by MARIGOLD.

Correct Products

Subject to availability, we will deliver the Products you ordered, including the specified size, color, and design, on or before the scheduled delivery date.

In rare cases where the Product is irreparably damaged or an unforeseen circumstance prevents timely delivery, we will make reasonable efforts to notify you of the unavailability.

If we are able to reach you, you may be given the option to choose an available rental Product to replace the unavailable one within the original rental order price.

Please note that the appearance of Products may differ slightly in color and style from what is displayed on the website.

Clean and Ready to Wear

The Products will undergo professional cleaning and will be delivered in ready-to-wear condition.

While MARIGOLD takes great care in dry cleaning and inspecting each Product, use of the Product is at your own risk.

MARIGOLD cannot be held liable for any health-related concerns arising from the use of the Product.

MARIGOLD Renter Content

MARIGOLD reserves the right, at its sole discretion, to have professional photographs taken of the Consignor's Items.

These photographs, known as "Verified Images", may be used in connection with the Consignor's Product listings.

It is the Consignor's responsibility to ensure that the Items accurately represent the Verified Images. If the Verified Images no longer accurately represent the Items, the Consignor must notify MARIGOLD.

The Consignor acknowledges and agrees that MARIGOLD has the right to use the Verified Images for advertising, marketing, and other business purposes in any media or platform, without further notice or compensation.

MARIGOLD grants you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to use the Verified Images solely for the purpose of creating listings on the Platform.

The Consignor agrees that they have no right or title to any content, including Verified Images, that appears on the Platform, except for their own content.

Sizing

If you receive a garment in the wrong size, or if the outfit delivered is different from what you ordered, please contact MARIGOLD within 24 hours of delivery.

MARIGOLD may provide expedited shipping for the correct size, offer replacement options, or issue an account credit at its discretion.

To qualify for any credit or replacement, the Item must be returned strictly unworn, as determined solely by MARIGOLD, and shipped back within 24 hours of delivery.

Please note that if inaccurate measurements were provided during the ordering process, MARIGOLD cannot guarantee the fit of the garment.

In such cases, MARIGOLD will not provide any refund, replacement, or account credit related to sizing or fit issues.

Billing and Payments

Payment Process

By placing a rental order for a Product, you authorize MARIGOLD to charge your payment card or other designated payment method ("Payment Method") for the applicable Rental Fee.

It is your responsibility to ensure that your Payment Method remains valid, active, and up to date at all times.

You agree to provide complete and accurate billing, payment, and contact information to MARIGOLD and promptly notify us of any updates or changes to such information.

Upon placing your rental order, MARIGOLD will immediately charge your Payment Method for the Rental Fee amount.

Please note that reserving a Product through the Services constitutes an order for the rental of that Product, regardless of the selected rental date.

At the time of placing your rental order, you also authorize MARIGOLD to charge your Payment Method an amount up to the Retail Value of the Product, including applicable sales taxes.

However, MARIGOLD will only charge your Payment Method amounts beyond the Rental Fee as outlined in these Terms and in the Cost of Services section.

Rental Fees do not include applicable federal, state, local, or international taxes, goods and service taxes, customs duties, levies, fees, or other governmental assessments.

You are solely responsible for paying such charges directly or reimbursing MARIGOLD if such amounts are paid on your behalf in connection with your rental order.

All Products, pricing, and availability are subject to change without notice.

MARIGOLD reserves the right, with or without prior notice, to limit availability, discontinue Services, impose conditions on promotions, restrict payment methods, refuse transactions, or deny Services at its sole discretion.

By making a purchase, you represent and warrant that you have the legal right to use any credit card or Payment Method submitted during checkout and that all information provided is true, accurate, and complete.

The Services may use third-party payment providers to process transactions and complete purchases. By submitting your payment information, you authorize MARIGOLD to share such information with these third-party providers in accordance with our Privacy Policy.

All purchases made through the Services are subject to acceptance by MARIGOLD.

Receipt of an order confirmation does not constitute final acceptance of your purchase or rental order.

MARIGOLD reserves the right to accept, reject, cancel, or limit any order at any time and for any reason, without liability to you or any third party.

If your Payment Method has been charged for an order that is later canceled by MARIGOLD, an appropriate refund will be issued.
